These Download Terms & Conditions (“Terms”) apply to all downloads of indicators, scripts, presets, or other software (collectively “Software” or “Indicator”) available from MT5 Toolbox at https://mt5toolbox.com (“Site”). By downloading any Software from the Site you confirm that you have read, understood and accepted these Terms. If you do not agree, do not download or use the Software.
1. License Grant
Subject to your acceptance of these Terms, MT5 Toolbox (or the indicated author/licensor) grants you a limited, non-exclusive, non-transferable, revocable license to download and use one copy of the Software for your personal or internal business use with MetaTrader 5 only, in accordance with the documentation and instructions supplied.
2. Restrictions
- You may not sell, sublicense, redistribute, rent, lease, or provide the Software (or parts of it) to third parties, except where a separate redistribution license is provided in writing.
- You may not reverse-engineer, decompile, disassemble, modify, or create derivative works of the Software unless explicitly permitted by the author/license.
- You must not remove or alter any copyright notices, license headers or author attribution contained in the Software.
3. Paid Items, Refunds and Licenses
For paid/downloadable content, purchase, refund and license terms are governed by the separate purchase flow and invoice. Refunds (if any) will be handled according to the purchase terms shown at checkout. Free downloads are still subject to these Terms and to any separate license included with the download.
4. Intellectual Property
All intellectual property rights in the Software are owned by the respective authors or MT5 Toolbox (as indicated). You acquire only the limited license rights expressly granted above. All other rights are reserved.
5. No Financial Advice & Risk
Software, indicators and example strategies provided on this Site are for educational and informational purposes only and are not financial advice. Use on a demo account before applying in live trading. Past performance does not guarantee future results; you bear all risk.
6. Warranty Disclaimer
The Software is provided “AS IS” and “AS AVAILABLE”. To the fullest extent permitted by law, MT5 Toolbox and the authors disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, MT5 Toolbox, its officers, employees, agents and contributors will not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to trading losses, loss of profits, or loss of data, arising out of or in connection with the use or inability to use the Software.
8. Indemnification
You agree to indemnify and hold harmless MT5 Toolbox and the author(s) from any claims, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Software.
9. Termination & Revocation
MT5 Toolbox may revoke or terminate your license at any time if you breach these Terms. On termination, you must stop using and delete all copies of the Software.
10. Privacy & Logging of Acceptance
When you accept these Terms during a download, we will record a minimal acceptance record (e.g., your IP address, timestamp, user-agent and the item downloaded). This record is used for compliance and support purposes. For more information see our Privacy Policy.
11. Governing Law
These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law provisions. Any disputes will be resolved in the state or federal courts located in New York County, New York.
